A Case Study on the Accounting Method of Negative Goodwill used by Hanhwa Group

한화그룹의 부의 영업권 회계처리에 관한 사례연구

&nbsp;&nbsp;본 연구는 한화그룹이 대한생명을 인수할 당시에 행하였던 지분법 관련 회계처리에 대한 사례연구이다. 경영학을 전공하는 대학의 고학년과 MBA 교육에서 사례연구의 중요성이 강조되고 있다. 하지만 다른 경영학 분야에 비하여 회계학 분야에는 사례연구가 많지 않다. 본 사례는 학생들이나 실무자들에게 지분법과 관련된 회계원칙을 깊이 있게 이해시킬 수 있고, 기업의 회계부정 가능성과 외부감사인의 역할, 금융감독원의 감리정책, 시민단체의 소송, 그리고 검찰의 수사까지 폭 넓은 관점에서 회계를 바라볼 수 있도록 한다.<BR>&nbsp;&nbsp;본 사례연구에서는 먼저 한화그룹을 소개하고 대한생명 인수배경을 서술한 다음, 본 연구의 주안점인 부의 영업권 회계처리를 설명하였다. 그 다음으로 (주)한화, 한화석유화학(주), (주)한화유통 상호간의 주식취득과 이와 관련한 부의 영업권 회계처리를 분석하고, 증권선물위원회의 감리지적 내용과 참여연대의 고발 및 검찰의 수사기록을 살펴보았다. 그리고 이 사건과 관련된 이해관계자들인 한화그룹, 회계법인, 금융감독원, 시민단체, 검찰, 그리고 공적자금관리위원회와 예금보험공사의 입장을 각각 조명해 보려고 노력하였다. 마지막으로, 본 사례가 교육목적으로 사용될 경우에 다루어질 수 있는 토론 주제를 제시하였다.

&nbsp;&nbsp;This study investigates the accounting method of negative goodwill used by Hanhwa Group during 1998-2000. There is fewer case studies in Financial Accounting than in other management studies like Marketing and Management Strategies, although the active usage of cases is highly encouraged in the accounting education. Educators can use this case to teach students about the equity method and consolidation. This case will be able to widen the perspective of accounting because the case deals with various areas of subjects such as accounting frauds, auditor’s independency, accounting policies of regulatory bodies, litigation by a civil organization, and prosecutors’ investigation.<BR>&nbsp;&nbsp;This paper introduces Hanhwa Group, describes the background of the Hanhwa Group’s acquisition of Korealife Insurance Co., and explains the accounting principles of negative goodwill in Korea. Then, the study describes reciprocal stock acquisition among the firms of Hanhwa Group - Hanhwa Corp., Hanhwa Chemical Corp., and Hanhwa Galleria, and explains the huge amount of negative goodwill generated by the acquisition. The case also investigates the possible accounting fraud of the equity method taken by Hanhwa Group, explains the Accounting Disclosure Reviews and Investigations by the Financial Supervisory Service, and presents the complaints by People’s Solidarity for Participatory Democracy and the investigations by Prosecutory Authority. Lastly, several discussion topics are suggested when the case is used for the purpose of accounting education.
