영미법상 용선계약의 성립에 관한 연구

A Study on the Formation of the Charter Party under English and American Law

용선계약은 협상과정에서 우선 주요사항이 합의된 후에 추가사항이 합의되면 체결된다. 그런데 용선시황이 급격하게 변동되었다면 일방 당사자가 고의적으로 용선계약을 체결하지 않으려고 하기 때문에 주요사항이 합의된 상황에서 사소한 내용인데도 불구하고 추가사항을 합의하여 주지 않는 경우가 있다. 이때 상대방 당사자는, 일방 당사자의 주장이 합리적이지 않더라도, 용선시황의 상황에 따라서 추가사항에 대한 일방 당사자의 주장을 승낙하고 용선계약을 체결한다. 또한 용선계약이 체결된 이후에 오랜 시간이 경과하였음에도 불구하고 아직 용선계약서가 작성되지 않았거나, 용선계약서는 작성되었으나 양 당사자의 서명이 되지 않은 경우가 있다. 이와 관련하여 용선계약의 성립여부에 대하여 법률적으로 검토한다. 우선 용선계약의 협상단계를 표시단계, 성약단계 그리고 세부사항의 합의단계로 나누어 살펴본다. 또한 용선계약의 내용에 관한 협상을 주요사항과 추가사항에 관한 협상으로 나누어서 설명하고 조건부 합의에 대하여도 살펴본다. 마지막으로 용선계약의 성립과 관련하여 재판관할과 준거법, 성립요건과 성립시기에 대하여 연구한다. 현재 해운실무상 용선계약의 체결 건수는 매우 많아, 분쟁이 많이 발생한다. 그러나 아직 우리나라에서 영미법상 용선계약의 성립에 관한 연구가 미비하다. 따라서 분쟁이 발생할 경우에 실무담당자가 법률적으로 대처할 수 있도록 하기 위하여 본 논문에서는 용선계약을 체결할 때에 일반적으로 준거법으로 채택하고 있는 영국과 미국의 판례분석을 통하여 영미법을 검토함으로써,용선계약의 성립에 대하여 연구한다.

The charter party is fixed clean when further details as well as main terms are agreed without any other subjects. By the way, there are cases in which one party is intentionally unwilling to compromise on further details in the circumstance main terms are already agreed due to the rapid fluctuation of the chartering market. And then, the other party fixes the charter party after he agrees to the suggestion on further details of one party according to the situation of the chartering market, although they are unreasonable. Also, there are cases in which the charter party is not drawn up or signed yet despite long time being passed already since the charter party was fixed clean. In this regard, I review the formation of the charter party legally. First of all, I review stages of negotiation which is divided into indication stage, fixing stage and detail stage. Also, I classify contents of the charter party into main terms and further details and review sub-agreement of the charter party. Finally, I study on jurisdiction and governing law, conditions for the formation of the charter party, and when the charter party is fixed in respect to the formation of the charter party. Nowadays, there are many charter party disputes due to lots of fixtures being made in chartering market. However, I can find only a few studies on the formation of the charter party under English and American law in Korea. Accordingly, I study on the formation of the charter party by reviewing English and American law through English and American cases for person in charge to prepare legally for the charter party disputes.
