민법상 사단(社團)과 관련한 법적 문제

Legal Matters in Connection with an Association in the Korean Civil Code

이 논문의 제목은 현행 민법상 사단과 관련한 법적 문제라고 하였다. 장래에 어떠한 문제가 발생할 것인지를 현재의 시점에서 정확하게 예측할 수는 없지만 그것이 사회질서를 규율하는 법 제도라고 한다면 불합리한 결과가 발생되지 않도록 그 위험성을 최소화할 수 있는 방법을 모색할 필요가 있다. 이와 관련하여 종래에 민법상의 사단제도를 운용하는 과정에서 제기되었던 법적 문제점들을 면밀하게 파악한다면, 장래에 정립될 사단제도는 보다 합리적이고 실질적 정의에 합치될 수 있을 것으로 생각된다. 예를 들어 법인 아닌 사단의 경우에 거래관계의 당사자로서 중요한 위치를 차지하는 경우가 증가하고 있음에도 불구하고 법인 아닌 사단과 그 상대방과의 법률관계를 어떠한 법리에 기초하여 형성할 것인지, 특히 당해 법률관계의 형성과정에서 거래안전을 보호하기 위한 법적 장치가 완비되어 있는지에 대하여 약간의 의문이 있다. 왜냐하면 법인 아닌 사단을 규율하고 있는 현행 민법전의 규율태도가 미흡하다고 생각되기 때문이다. 이러한 이유에서 저자는 현행 민법상 사단제도와 관련한 주요한 내용을 살펴보았고, 이에 기초하여 최근에 제시되고 있는 사단제도의 입법방향과 관련한 문제점과 그 개선방향에 대하여 검토하였다.

The title of this thesis is 'Legal Matters in connection with an Association in the Korean Civil Code'. It would be difficult at the present moment to predict exactly what problems may arise in the future. However, there should be efforts to find solutions for problems related to regulation of public order so that the risk of causing unreasonable consequences can be minimized. Since association system is not something that is being newly developed but is a system which has evolved along with the history of mankind, a thorough examination of past problems can lead to a future legal system that is more rational and accords with substantial justice. For example, more and more Associations(without the capacity of enjoyment of rights) are playing important roles in transactions, but the legal system is not so sufficient to protect the safety and stability of that kinds of transactions. I explained about the main contents of an association system in the Korean Civil Code and dealt with the important contents of an association system in the Korean Civil Code and suggested especially the problems and improvements in connection with legislative direction of an association system in the Korean Civil Code.
