How to Improve Corporate Governance of State-Owned Enterprises in Korea

공기업 개혁의 방향은 크게 보면 한편으로는 민영화의 추진이고 다른 한편은 공기업 지배구조의 개선이라 할 수 있다. 공기업 민영화의 문제는 다음 기회에 다루어 보기로 하고, 본고에서는 공기업지배구조의 개선방안만을 다루어 보았다. 일반적으로 공기업 지배구조는 소유권 행사자로서의 정부의 기능, 이사회의 구성과 역할, 기관장(대표이사)의 선임, 해임, 권한, 비상임 이사의 독립성과 역할, 이사회의장의 역할, 이사의 보수, 감사 또는 감사위원회의 역할, 내부통제기관의 존재와 역할, 이해관계자와의 관계, 이사의 의무와 책임 등이 논의된다. 본고는 공공기관의 운영에 관한 법률에서 개선 필요성이 큰 소유권 행사기관으로서의 정부의 기능, 이사회의 권한, 이사의 손해배상책임 등의 문제를 검토하였다. 공공기관의 운영에 관한 법률은 소유권행사기관으로서의 정부의 기능을 분산하고 있으므로 이를 집중화하여, 정부는 공기업 소유권을 효율적으로 행사하고, 이에 대한 정치적 행정적 책임을 부담하게 할 필요가 있다. 또한 동법은 공기업의 이사회에게 기관장의 임명권 및 해임권을 주지 않고 있으나, 이 사회가 기관장과 상임이사의 경영활동을 감독하고, 기관장에 대한 경영책임을 추궁하기 위하여 기관장의 임명권(또는 임명제청권)과 해임권(해임제청권)을 부여할 필요가 있다. 공기업의 이사가 정부의 요청에 따라 또는 독자적 판단에 의하여 공기업에 손해가 발생하는 업무를 수행한 경우에는 공기업의 이사에게도 손해배상책임을 추궁할 가능성이 있다는 것도 검토하였다.
