한국해운조합의 지배구조 개선에 관한 입법론적 고찰-공익성 강화를 중심으로-

A Study of Legislation on the Improvement of Governance System of Korea Shipping Association - Focusing on the Improvement of Public Interest -

우리나라 국가물류체계에서 타 운송수단 못지않게 연안화물운송의 기능과 역할은 중요하다고 할 수 있다. 특히 세계적으로 급변하는 해운환경속에서 우리나라 연안해운의 축을 담당하는 한국해운조합은 세월호 사고의 여파속에서 연안해운의 지속적 발전과 안전확보라는 두 가지 요구를 충족시켜야하는 시점에 있다. 이와 관련하여 조합원의 권익보호를 위하여 설립된 민간단체인 한국해운조합에 대해 공익성을 강화하는 것은 타당하지 않다라는 견해도 있지만 특정 업무 영역에 대하여 정부위탁사업을 수행하는 등 일정부분 공적기능을 수행하고 있는 현실을 감안하면 보다 합리적이고 투명한 지배구조를 갖출 필요성이 있어 보인다. 이에 이 논문에서는 공익성을 포함한 한국해운조합의 업무영역과 현재의 지배구조 등에 대하여 살펴보고, 보다 합리적이고 투명하면서 특정분야에 대한 공익성을 확보하기 위해 의사결정구조를 포함한 지배구조의 개선안을 제안하고자 한다.

In the world in rapidly changing shipping environment, Korea Shipping Association(KSA) serves many important functions in our coastal shipping industry fields. Now it is time for the KSA to meet the requirements achieving sustainable development and ensuring security of coastal shipping area. In this connection, there is an opinion that enhancing the public services of KSA is erroneous because it is a private organization and established to protect the rights and interests of the members of an association. But considering KSA’s public interest functions, for example, consignment business by government, KSA will have to meet reasonable and transparent governance systems. Therefore this study reviewed its business areas including public interest and its governance and proposed improvements on its governance including decision making process for enhancing reasonable public interest.
