Macneil의 “관계적 계약이론(Relational Contract Theory)”은 미국 내에서 고전적 계약이론을 기초로 한 고전적 계약법과 신고전적 계약법의 대체 이론으로서 유력한 기초를 제공하는 동시에, 사회현상으로서의 ‘계약’이나 ‘실정 계약법’에 대한 이해의 깊이와 폭을 심화시킨 것으로 평가받고 있다. 영국과 일본에서는 이러한 Macneil의 이론을 기초로 실정 계약법 차원에서 발전과 적용 가능성을 탐색하는 노력을 해 왔다. Macneil의 이론에 대한 깊이 있는 연구는 비교법 연구의 대상으로서 미국에서의 계약과 계약법을 대하는 인식에 관한 이해를 제고시킬 수 있을 뿐만 아니라, 사회경제의 변화와 함께 새로운 계약 현상의 출현에 따른 계약법의 해석론 및 입법론의 정합성을 뒷받침할 수 있는 계약이론의 연구 필요성이 제기되고 있는 우리 민법의 발전적 시사점을 도출하기 위한 예비 작업의 일환으로서의 가치가 있다. 본 논문은 미국 계약법학 분야에서 전개되어 온 ‘현대적 계약이론’ 중 중요한 지위를 차지하는 Ian Roderick Macneil 교수의 관계적 계약이론에 관해 고찰하는 것을 목적으로 한다. 이를 위하여 본 논문에서는 미국 계약법학에서 Macneil의 이론이 점하는 학설사적 지위, 동 이론의 핵심적 명제와 논지, 그리고 그 영향과 비평에 관해 개괄함으로써 향후 우리 민법의 발전적 시사점 도출을 위한 추가적인 연구의 방향성을 탐색하고자 한다.

This article explores “the relational theory of contract” by Ian Roderic Macneil, which is regarded as one of important contract theories in modern American contract scholarship. Relational contract theory is characterized by a view of contracts as relations rather than as discrete transactions. The theory is the most promising basis for the construction of the alternative jurisprudence of market transactions now widely recognized to be necessary following the “death” of “the classical law of contract.” Moreover, the English and Japanese contract scholars have proposed different versions of relational contract theory inspired by Macneil, relating to each country’s situation. Given these preliminary observations, and the reception of Macneil’s theory so far in the U.K. and Japan, relational contract theory might be expected to develop productively in various directions. First of all, the in-depth study of Macneil’s theory will enhance our understanding of contract and contract law in the U.S. In addition, it may have further implications for the study on contract theory in Korea experiencing rapid socioeconomic changes.
