기관투자자의 부동산 투자윤리에 대한 논의의 동향과 쟁점

Trends and Issues in the Discussionabout the Ethics of Institutional Real Estate Investment

본 연구에서는 투자윤리에 관한 논의의 동향과 쟁점을 파악하고, 이러한 논의가 부동산 분야에서 어떻게 진행되고 있는지 살펴보았다. 먼저 논의의 동향은 윤리경영과 직업윤리 두 가지 차원에서 이루어지고 있었다. 윤리경영 차원의 부동산 투자윤리는 사회책임투자로 귀결되는데, 이를 달성하기 위해 사회적 스크린전략, 주주행동전략, 사회적 투자전략 등이 활용되고 있었다. 직업윤리 차원의 부동산 투자윤리는 신인의무로 귀결되는데, 이는 투자서비스 제공자가 선량한 관리자로서 충분한 주의와 전문성을 투입할 것을 요구하는 주의의무와 투자서비스 제공자가 고객의 이해를 대변하기 위해 이해상충방지와 정보공개에 유념할 것을 요구하는 충실의무로 구성된다. 신인의무는 법령에 의해 강제되며, 동시에 자율적인 윤리강령과 행위기준의 형태로도 요구되고 있었다. 한편 신인의무에 편향된 투자서비스 제공자의 태도는 사회책임투자를 방해하고 있었다. 투자자의 수익을 최우선으로 하는 신인의무는 ESG 이슈를 중시하는 사회책임투자와 상충될 수 있기 때문이다. 이를 해결하기 위한 노력은 법률적, 실증적, 제도적 측면에서 다양하게 이루어지고 있었다. 이상 국내외 동향의 검토를 통해 부동산 투자윤리에 있어서 가장 핵심적인 논의는 사회책임투자와 신인의무에 관한 것이며, 공교롭게도 그들 간에는 상충문제가 존재함을 알 수 있었다. 이러한 구도를 파악하는 것은 향후 부동산 투자윤리에 대한 구체적 사안을 연구함에 있어서 거시적인 틀로서 활용될 수 있을 것이다.

This study reviews the trends and issues in the discussion about investment ethics and how they are applied to real estate market. The trends of discussion are composed of two aspects, ethical management and professional ethics. The former is related to SRI(Socially Responsible Investment) and various strategies such as social screening, shareholder activism and social investment are adopted to achieve it. The latter is related to fiduciary duty, which is composed of duty of care and duty of loyalty. Fiduciary duty is regulated by law in most countries as well as required by voluntary code of ethics and standard of professional conduct. However, the attitude of investment service provider which is strictly oriented to fiduciary duty would induce conflict with SRI. The fiduciary duty which emphasizes financial return of investor would not match with the activities pursuing social responsibility. Legal, empirical and regulative efforts are under progress to resolve this conflict between fiduciary duty and SRI.
