Human capital is the most important element of the productive forces that has the decision of the comprehensive development of a country. Vietnam - with 90 million people (as of January 11/2013), ranked No. 3 Southeast Asia and 13th in the world, is undergoing restructuring "golden population", this is an important lever to lead Vietnam vigorously to the path of industrialization and modernization of the country; contributing to establish a competitive advantage before the context of international cooperation, this has become indispensable rule for the development of each country. However, at present, the quality of human resources in Vietnam has not met the increasingly stringent requirements of the labor market in the twenty-first century and has not got right-range contribution in raising labor productivity and improving competitiveness for Vietnam on the international market. This has significant impact on sustainable development in Vietnam, increasing the risk of making Vietnam fall into the "middle income trap". Therefore, developing high-quality human resources which is able to adapt the more and more modern international environment is the urgent requirement for Vietnam today. Within the scope of this article, we focus on analyzing a number of problems: 1. Some Conceptual Tools 2.
