아시아 금융위기 이후의 기업 지배구조 변화에 대한 소고: 싱가포르와 한국기업을 중심으로

The Study on the Change of Governance Structure after the Asian Crisis: The Case of Korea and Singapore

이 연구는 아시아의 대표적인 두 신흥공업국들인 한국과 싱가포르가 아시아 금융위기라는 거대한 파도를 만나 어떻게 대처를 하였으며, 경제의 주역들인 기업들이 어떻게 변신하였는가를 비교 하는데 그 목표가 있다. 특히, 가족 중심적 지배구조에 대한 구조조정이 어떤 방식으로 이루어졌 는지를 두 나라 사례를 통하여 비교분석 하고자 한다. 신자유주의의 쓰나미(Tsunami)가 지구촌을 휩쓸고 있는 가운데, 영미식 스타일(Anglo-American style) 경제 시스템과 기업체제가 전 세계 표준(global standard)이 되고 있는 중이다. 무한 경쟁이 이루어지는 시장경제가 급속히 확산 되었고, 투기자본을 포함한 외국자본이 국경을 넘어 자유롭게 이동하고 있다. 정글을 방불케 하는 자유 시장경제 체제에서 도태되지 않고 생존하려면, 효율성(efficiency)이 제고 되어야 한다. 그런데 미국식 제도가 경제의 효율성과 기업 경쟁력을 최대한 신장시켜 줄 수 있다는 것이다. 따라서 시장구 조나 기업체제도 미국식으로 전환해야 된다는 주장이 대두되고 있다. 즉, 치열한 시장경제 체제 하에서 살아남기 위해서는 다양한 경제체제와 기업 시스템이 미국식 시스템으로 수렴 (convergence) 해야 된다는 것이다. 아시아 금융위기 이후, 외부의 강력한 압력에 의해 경제성장의 신화를 이룩했던 싱가포르와 한국은 구조조정을 단행하지 않을 수 없었다. 이 두 나라는 나름대로의 경제시스템과 기업체제로 사상 유례 없는 경제성장을 이룩하였었다. 앞서도 언급하였지만, 싱가포르와 한국이 큰 틀 안에서 글로벌 스탠다드(global standard)를 받아들이고 있다는 사실은 이론의 여지가 없다고 본다. 그런데 과연 이들의 시스템, 특히 기업지배구조가 영미식 (Anglo-American)으로 시스템으로 수렴(convergence)하고 있는지 의문이 든다. 본 연구의 결과로 기업지배구조의 수렴(convergence)에 대한 해답과 교훈(lesson)을 찾고자 한다.

The aim of this study is to explore how Asia s Economic Giants - Singapore and Korea coped with the Asian Crisis in 1997 and their firms changed their governance structure. Especially, this comparative research focuses on how they restructured their family-based system to a western governance mode. Tsunami of market capitalism hit the all over the world including Korea and Singapore. And the American system came to a global standard for governance structure of business firms. The global economy is characterized as formidable competition and free movement of hot money. In order to survive the jungle of free market, economic actors must be competitive by achieving efficiency. It is said that most nations have to adopt Anglo-American mode since the American system is most efficient. In other words, various governance systems in the world tend to converge on the American standard. Up to present, Singapore and Korea achieved unprecedented economic development by their own distinct systems. However, they have been forced to follow the global standard. This study is to make sure that the two countries such as Korea and Singapore really converged the American system.
