공공기관의 경영성과가 CEO 교체에 미치는 영향

The impact of performance on CEO turnover in Korean state-owned enterprises

본 연구의 목적은 공공기관을 시장형 공공기관과 비시장형 공공기관으로 구분하여 경영성과에 따른 CEO 교체를 분석하고 이와 더불어 이 둘의 관계에 지배구조가 어떠한 조절작용을 하는지 알아보고자 한다. 분석대상은 2011년부터 2013년까지 102개의 우리나라 공공기관, 총 306개의 표본으로 분석결과는 다음과 같다. 첫째, 공공기관의 유형에 따라 공기업을 시장형 공공기관으로, 준정부기관을 비시장형 공공기 관으로 구분하여 분석한 결과, 시장형 공공기관의 경우에만 경영성과와 CEO 교체가 부(-)의 관계에 있는 것으로 나타났다. 둘째, 경영성과와 CEO 교체 간의 관계에 있어서 지배구조가 조절작용이 있는지 분석하고자 하였다. 내부지배구조로 이사회의 독립성과 외부지배구조로 국회지적사항을 상호작용항으로 하여 분석한 결과, 국회지적사항이 경영성과와 CEO 교체 간의 부(-)의 관계를 약화시키는 조절효과가 있는 것으로 나타났다. 공공기관을 대상으로 하여 경영성과에 따른 CEO 교체를 분석한 본 연구는 공공기관의 방만경 영에 대한 끊임없는 문제 제기와 이에 대한 해결을 요구하고 있는 추세와 맞물려 제도적인 시사 점이 있다고 할 수 있겠다. 또한 시장형 공공기관에서의 경영성과가 CEO 교체에 부(-)의 영향을 미친다는 분석 결과를 통해 기업 통제 변수로서 `시장ʼ 역할의 중요성을 시사하며 공공기관이 나아가야 할 미래방향성을 제시하고 공공기관의 대표적인 경영성과 지표로서 경영실적평가점수의 객관성과 신뢰성을 제고한다. 마지막으로, 시장형 공공기관의 경영성과와 CEO 교체 간의 관계에서 국회지적사항이 조절효과가 있는 것으로 나타나 공공기관의 외부지배구조 메커니즘 효과에 대한 향후 연구의 필요성도 제시한다.

The purpose of this study is to analyze the impact of the performance of Korean state-owned enterprises on CEO turnover and to examine whether their corporate governance systems strengthen or weaken the relationship between performance and CEO turnover during the three-year period (2011-2013), using 102 firms designated as public enterprises by Korean government. The results indicate that the performance is negatively associated with CEO turnover in the case of market oriented enterprises, implying that performance plays a important role as a key variable in influencing the CEO turnover decision. Therefore, the relationship between state-owned enterprises’ CEO turnover and their performance provides institutional implication in terms of the fact that the solution for the state-owned enterprises’ reckless management problem has been currently required. Furthermore, the result of negative effect of performance in market oriented enterprises on CEO turnover implies the significance of market role and suggests state-owned enterprises’ future orientation.
