통상실시권의 당연대항제도에 관한 연구

A Study on the Legal System of Nonexclusive License without Registration

현행 특허법상 통상실시권자는 자신의 통상실시권을 등록할 수 있으며, 등록 후에는 특허권이 이전되더라도 특허권을 양수한 자에 대항하여 자신의 통상실시권을 주장할 수 있다. 그러나 최근 우리나라와 마찬가지로 등록대항제도를 취하고 있던 일본이 통상실시권자가 등록을 하지 않더라도 특허권자에게 대항할 수 있는 당연대항제 도를 도입하였다. 통상실시권자의 등록이 현실적으로 이루어지고 있지 않고 있으며 이러한 상황에서 등록대항제도는 그 기능을 다할 수 없기 때문에 기업의 안정적인 사업운영 및 기술개발을 위해서 당연대항제도를 도입한 것이다. 우리나라의 경우도 일본과 마찬가지로 통상실시권의 등록 건수가 매우 작아 통상실시권자의 대부분이 미등록상태로 있는 실정이며 등록대항제도는 통상실시권자의 보호에 매우 미흡하다. 따라서 일본의 경우와 같이 등록대항제도를 폐지하고 당연대항제도의 도입을 검토할 필요성이 있다. 특히 등록대항제도는 전세계적으로 독특한 제도이며 국제적인 조화의 관점에서도 등록대항제도에 대한 수정이 필요한 시점이다. 기업환경, 법률의 규정, 통상실시권의 등록현황 등 기타 제반사정이 유사한 일본의 경우를 참작하여 우리나 라의 특허법도 당연대항제도를 도입할 수 있을 것이라고 생각된다. 물론 당연대항제 도를 도입하기 위해서는 특허권 양수인의 실사와 같은 실무적 관행과 민법의 일반원칙 등 기존의 법체계와의 조화에 대한 세심한 검토가 필요하다.

If the patent owner transfers his patent right to a third party, a nonexclusive licensee could be placed at a loss of his right on the patent license agreements. So the nonexclusive licensee who has registered his right may assert his right to the third party(new patent owner) under Korea and Japan patent law. But recently, Japan patent law abolished this regulations and has granted the nonexclusive licensee without registeration to assert his right to the new patent owner. Because there are only a few nonexclusive license registeration and protection for the nonexclusive licensee is needed in Japan. The nonexclusive licensee without registeration may not assert his right to the new patent owner under Korea patent law. there are only a few nonexclusive license registeration and protection for the nonexclusive licensee is also needed in Korea just like Japan. To have this new regulations in Korea patent law, the practiceses like dudiligance and the harmony with prior legal principles must be studied heavily.
