2012년 4월 오바마 미국대통령은 신생기업의 창업 및 초기단계에서의 자금조달을 돕기 위하여 창업지원법 (Jumpstart Our Business Startups Act: JOBS Act)을 공포하였 는데, 이 주요 내용 중 하나로 크라우드 펀딩(Crowdfunding)의 허용이 들어 있으며, 우리 정부가 2012. 5. 12. 발표한 “기업투자 활성화 방안”에도 투자방식 크라우드 펀딩의 도입이 포함되어 있다. 크라우드 펀딩은 자발적으로 시작되어 이미 활발하게 이용되고 있는데, 다만 각국의 실정법에 따라 나라별로 운영형태나 범위에 한계가 있어 왔다. 특히 대출형식이나 투자방식의 크라우드 펀딩의 경우에는 증권법령의 적용을 받는지의 문제가 있는데, 크라우드 펀딩이 “증권의 모집”으로 인정되면 증권법령에 따라 증권신고서를 제출하고 공모절차를 밟아야 하며 계속적인 공시의무를 부담하는등 자금조달비용이 크게 증가하게 된다. JOBS Act 에서는 이러한 불확실성을 제거하기 위하여 (1) 일정 규모 이하의 크라우드 펀딩은 증권신고서 면제거래로 지정하고, (2) 개별 투자자 보호를 위하여 크라우드 펀딩으로 투자할 수 있는 한도를 설정하고 일정한 정보를 제공할 것을 요구하며, (3) 크라우드 펀딩 사이트 운영자에 대하여 일정한 규제를 예정하고 있다. 그런데 크라우드 펀딩은 인터넷과 소셜네트워킹을 통하여 자체적으로 필요한 정보의 제공과 계속적인 업데이트를 달성하고 있으므로, 크라 우드 펀딩의 제도화와 규제에 있어서도 시장의 자발적인 기능을 존중하고 과도한 규제를 강요하지 말아야 할 것이다.

On May 12, 2012, Korean government announced a masterplan to activate investment, which also includes equity crowdfunding. However, crowdfunding has been developed and widely used around the world well before the government’s blessing, with limitation pursuant to local regulations. The most critical huddle is the securities regulations: if crowdfunding should be regulated as securities offering, the funding cost of registration and subsequent disclosure would be too great to make the funding feasible. JOBS Act tries to eliminate this legal ambiguity by codifying crowdfunding exemption while setting investment limits per investor and other regulation on crowdfunding sites for investor protection. In allowing or regulating on crowdfunding, the legislator and the regulator should respect what the market has developed and should not be over-restrictive.
