Ownership Structure in GS Group, 2005-2013

본 논문은 GS그룹(동일인 허창수) 소유구조의 성격과 특징을 분석한다. GS그룹은 재벌들 중에서는 유일하게 2005년 그룹 출범 때부터 공정거래법상 지주회사체제로 시작하였으며, 지주회사체제 달성 비율(그룹 계열회사들 중 체제에 편입된 회사들의 비중)은 45% 이하의 낮은 수준이 유지되었다. 지주회사체제 달성 비율이 낮은 이유는 2005년 이후 ‘공동적이면서 개별적인 소유구조’가 정착된 때문이었다. 공정거래법상 지주회사 ㈜GS에는 허씨 7형제(허정구, 허준구, 허신구, 허완구, 허승효, 허승표, 허승조) 일가가 공동으로 지분을 가졌으며, 동시에 앞의 4형제 일가는 체제에 편입되지 않은 삼양통상, GS건설, 코스모앤컴퍼니 및 승산을 각각 독자적으로 소유하였다. 그 결과 ‘공정거래법상 지주회사체제’와는 별도로 ‘4개의 실질적인 지주회사체제’가 구축되어 ‘5개의 지주회사체제’가 공존하는 모습을 보였다. 이러한 복합적인 소유구조는 지주회사체제의 전형적인 형태와는 거리가 먼 독특한 사례이며, 그 성격을 규명하는 것은 ‘한국재벌과 지주회사체제’를 종합적으로 평가하는데 필요 한 작업이다. 본 논문은 1개 그룹의 소유구조에 초점을 맞추고 있는 점에서 연구의 범위가 제약적이며, 소유구조에 대한 보완적인 연구 그리고 경영구조에 대한 후속연구를 통한 GS그룹 지배구조의 본격적인 규명 작업이 진행되어야 할 것으로 보인다. 또 지주회사체제를 채 택한 다른 재벌들에 대한 사례 및 비교 연구가 진행될 수 있을 것으로 기대되며, 나아가 지주회사체제의 효율적인 정착을 위한 제도적 장치에 대한 논의가 이루어질 수 있을 것으로 전망된다.

This paper delineates the ways in which GS Group (Chang-Soo Huh, the representative owner) has been owned by the Huh families in 2005-2013. The Group adopted the holding company system from its inception of 2005, which is the first of its kind among Korean chaebols. However, unlike the cases in many other chaebols, only less than half (26-45%) of the member companies in GS Group have been organized into the holding company system. The reason is that the Group was owned ‘jointly’ on one hand and ‘individually’ on the other. GS Corporation, the holding company, was financially contributed by the seven Huh families and, at the same time, four major companies outside the holding company system (GS Construction, Cosmo & Company, Samyang Tongsang, and Sungsan) were respectively by each of four of the seven families. As the result, within GS Group, five holding company systems have coexisted: one was the legally-acknowledged holding company system led by GS Corporation; and, the remaining four were de facto holding company systems led, respectively, by the other four major companies. The paper focused on the ownership structure in GS Group. More information on the ownership structure needs to be collected and, furthermore, an analysis of the management structure should be made in order that the governance structure in GS Group could be fully revealed. Also, it is expected that case and comparative studies of other chaebols with the holding company system would follow and that discussions, in terms of both policy and theory, would be made with regard to how the holding company system could be efficiently adopted and constructed.
