‘누구를 위해 회사는 운영되어야 하는가?’ 이 질문을 둘러싸고 오늘날 주주 우선주의와 이해관계자 우선주의 혹은 사회적 책임론이 대립하고 있다. 그런데 Berle-Dodd 논쟁에서 Berle의 견해는 주주 우선주의의 시조이고 현대 회사와 사유재산에서 Berle의 견해는 사회적 책임론의 시조라는 이해를, Berle에 대한 기존 해석들은 보편적으로 전제하고 있다. 이 글은 현대 회사와 사유재산과 다양한 문헌들에 대한 학제간 검토를 통해 Berle의 견해를 면밀하게 분석함으로써 다음과 같은 점들을 주장한다. 첫째, 기존의 해석들이 전제로 하고 있는 Berle의 견해에 대한 이해는 타당하지 않다. 둘째, Berle의 견해는 공동체의 이익을 위해 회사가 운영되어야 한다는 것이며, 상반된 것으로 보이는 Berle의 두 주장은 이를 위한 두 가지 조건을 마련하기 위해 요구되는 회사법 영역과 회사법 바깥 영역의 접근을 각각 의미하는 것으로 재해석될 수 있다. 이러한 재해석은 오늘날의 기업지배구조 논의와 뉴딜의 과정 및 미국에서 소유와 지배의 분리 과정에 대한 역사적 이해에 중요한 시사 점을 제공한다.

For whom the modern corporation should be run? Replying to this question, shareholder primacy view is standing against stakeholder primacy view or corporate social responsibility view. Adolf A. Berle’s view is widely accepted as either shareholder primacy view or stakeholder primacy view by existing studies. Based on rigorous and interdisciplinary literature review, this paper argues that Berle’s view is not correctly understood by existing studies and that seemingly conflicting Berle’s views reflect his intended dual approaches, in and out of the corporate law area, to develop a social order in which the corporate system is to be sustainable. This reconsideration sheds some lights on the discussion of corporate governance and on the understanding of historical process of the New Deal and of the separation of ownership and control in the United States.
