양도가능 전자기록에 관한 UNCITRAL모델법과 한국법에 대한 시사점

A Study on UNCITRAL Model Law on Electronic Transferable Records And Implications for Korean Laws

연구목적: 모델법에 입각하여 관련 법률을 제정하는 것에 앞서 기존 한국법률들이 모델법에서 요구하는 내용을 수용하고 있는지의 여부를 살펴보는 것은 시기적절하다. 따라서 본 논문은 양도가능 전자기록에 관한 모델법의 내용을 살펴보고 기존의 한국법 률에서의 수용되어 있는지의 여부를 살펴보고 향후 모델법의 취지에 따라 관련법률들이 조속히 개정될 수 있도록 기여하는데 그 연구목적이 있다. 논문구성/논리: 본 논문을 총 5개장으로 구성되어 있으며 제1장은 서론으로서 연구의 배경과 연구목적을 기술하고 있으며 제2장은 선행연구와 모델법의 도입배경을 설명하고 있다. 제3장은 양도가능 전자기록에 관한 UNCITRAL모델법의 내용을 평가하고 있다. 제4장은 모델법의 주요시사점을 도출하고 있다. 제5장은 결론을 내리고 있다. 결과: 우선, 전자선화증권의 도입을 위한 법적 토대로서 양도가능 전자기록에 관한 모델법이 마련되어 전자무역확산을 위한 전환기가 될 것이다. 그리고 모델법에서는 외국 양도가능 전자기록의 차별금지를 규정하고 있는데 우리나라 전자어음법, 전자금융거래 법, 상법의 전자선화증권 규정상 전자어음, 전자채권, 전자선화증권은 한국의 지정 등록기관이나 관리기관에 등록을 요구하고 있어 외국의 그러한 것은 법적효력을 인정받을 수 없다. 독창성/가치: 기존의 선행연구들은 모두 2018년 모델법이 완성되기 이전의 초안들을 중심으로 논의가 되었고 현재의 모델법과 기존의 초안들과는 상당한 차이가 있다. 따라서 현재의 모델법을 연구대상으로 하는 논문은 거의 없다는 점에서 본 논문은 차별 성이 있다. 그리고 본 연구에서는 현행 모델법을 연구대상을 하고 전자기록과 관련된 전자어음법, 전자금융거래법 그리고, 상법에서의 전자선화증권 규정에 대한 시사점을 도출한다는 점에서 또한 연구의 차별성이 있다고 할 수 있다.

Purpose: It is timely to examine whether existing Korean laws embrace the requirements of the model law prior to enacting relevant laws based on the Model Law. Therefore, this paper examines the contents of the Model Law on Electronic Transferable Records, examines whether it could be accepted in the existing Korean law, and contributes to the amendment of relevant laws in accordance with the purpose of the Model Law in the future. Composition/Logic: This paper is composed of five chapters. Chapter I describes the background of the research and the purpose of the research as an introduction. Chapter 2 explains the previous research and the process in enacting the Model Law. Chapter 3 evaluates the contents of the UNCITRAL Model Law on Electronic Transferable Records. Chapter 4 provides key implications of the Model Law. Chapter 5 concludes this paper. Findings: First, as a legal basis for the introduction of electronic bill of landing, Model Law on Electronic Transferable Records is prepared, which will be a turning point for spreading e-Trade. In addition, the Model Law stipulates the prohibition of discrimination of foreign electronic transferable records. In Korea, according to the Issuance and Distribution of Electronic Bills Act, the Electronic Financial Transactions Act, and the Commercial Act, the electronic bill, the electronic bond, and the electronic bill of lading should be registered. Therefore, those issued in a foreign country can not be recognized as legally valid. Originality/Value: All of the previous studies have been focused on the drafts before the completion of the Model Law in 2018. Since there is a significant difference from the current Model Law and existing drafts, this paper is different in that there are few articles that study the current Model Law. Also, In this study, the implications for the Issuance and Distribution of Electronic Bills Act, the Electronic Financial Transactions Act, and the Commercial Act regarding the introduction of the electronic transferable records are derived.
