CISG의 매매계약에 대한 해석기준의 재검토

Review of interpretation criteria for CISG’s contract of sale

국제매매계약에 관한 유엔협약(CISG)은 국제매매법을 조화시키고 무역 및 국제상거래를 촉진하려는 목적을 가지고 있다. 그러나 국내 법원이 CISG의 명확하지 않은 규정을 해석하려는 경우 이를 광범위하게 해석하고 적절하지 않은 국내법규로 이를 채울려고 하는 자기편향적 해 석(homeward trend)이 발생하게 된다. CISG는 계약의 해석을 규율하는 명시적인 조항을 규정 하고 있지만 적용에 관한 해석기준을 제시하고 있지 않다. 이것으로 인해 두가지 경우를 살펴볼 수 있다. 먼저 법원이 계약에 대한 해석보다는 유효성에 대한 해석을 하려는 경우 CISG 대신 국내법규를 적용하게 된다는 점이다. 두 번째는 법원이 CISG의 모호한 계약해석기준을 원인으로 국제사법의 원칙에 따라 국내법을 선택하여 사용할 수 있다는 점이다. 국내법을 사용하여 CISG하의 계약을 해석하는 것은 국내법규로 CISG를 제한하게 되는 것이고 따라서 CISG의 의도와 목적을 훼손하게 된다. 여러 연구에서 살펴볼 수 있는 것처럼 CISG의 매매계약에 대한 해석 문제는 CISG의 명시적 조항 또는 CISG의 일반원칙에 따라 규율되어야 한다. 이는 CISG의 모호한 점에도 불구하고 법원은 CISG의 기초가 된 기본원칙을 적용해야 하고 이를 위해 공정한 합리적인 상업적 기준을 적용하여 매매계약을 해석하여야 한다는 것이다. 다만 CISG의 흠결을 보충하려는 유연성이 가지는 장점을 제한하기보다는 통일법이라는 목적을 위해 보다 강조되고 노력이 필요한 것이란 점을 살펴보았다.

Purpose : In this paper, we analyze CISG’s explicit contractual interpretation clause and examine inherent ambiguity. Despite its ambiguity, the CISG s basic principles have been that the Court intends to interpret the contracts in order to promote fair and reasonable commercial standards in the contract of sale. Research design, data, methodology : This paper examines the ambiguity that may arise in the interpretation of contracts concluded under CISG and examines reasonable interpretation criteria to solve them. In addition, the provisions of the CISG have been reviewed logically, taking into account the claims of interpretation in various studies. Results : A reasonable interpretation criterion is a comprehensive reexamination of the CISG explicit provisions first, taking into account the general principles governing the CISG and, if ambiguous to the explicit provisions, be interpreted in accordance with the general principles of the CISG. Conclusions : I t was determined that the CISG’s fundamental principles intend the Court to interpret the contract in order to promote fair and reasonable commercial standards in the contract of sale.
