노무도급의 법적 성질

The Distinction between Contract for Work and Contract for Employment

민법상 노무공급계약 중에서 도급계약과 고용계약 내지 근로계약과의 구분은 해당 계약에 대한 적용규정을 정하는데 있어서 중요한 문제이다. 또한 도급계약과 고용계약(근로계약)과의 구별은 민법상 법적용의 문제를 넘어서서 노동법적인 문제가 될 수도 있다. 왜냐하면 형식적으로 도급의 형태를 띠고 있더라도 당해 계약관계에서 노동법상 종속성과 지휘·명령관계가 인정되면, 불법파견이나 근로계약의 인정이라는 노동법의 규율을 받게 되기 때문이다. 도급과 고용계약(근로계약)은 그 목적으로만 보면, 도급은 일정한 일의 완성을 목적으로 하지만, 고용계약(근로계약)은 노무자(근로자)가 제공하는 노무 그 자체를 목적으로 한다는 점에서 비교적 쉽게 구별할 수 있다. 그리고 도급과 고용은 하자담보책임을 비롯한 규정에 있어서도 차이가 있고, 당사자의 관계에 있어서도 수급인은 재량성과 독립성을 가지지만, 노무자(근로자)는 사용자에 종속적이라는 점에서 차이가 있다. 또한 계약상 위험분산에서도 양자는 차이가 있다. 이러한 일응의 기준에도 불구하고 실제 사례에서 양자를 구별하기 쉽지 않은 경우가 많다. 결과적으로 구체적인 개별 계약이 도급인지 고용계약(근로계약)인지는 계약의 체결, 목적, 내용 등과 관련한 사정을 종합적으로 고려하여 판단할 수밖에 없다.

Contract for work are aimed at completing certain tasks, but contract of employment is aimed at the labor itself provided by laborers. And contract for work and contract of employment also differ in regulations, including liability for warranty. Contractor also have discretion and independence, while laborers are user dependent. There is also a difference in contractual diversification of risks. Despite these criteria, it is difficult to distinguish between the two in practical cases. Therefore, whether or not the actual contract is contract for work or contract of employment is synthetically determined in consideration of the matters relating to the conclusion, purpose and contents of the contract.
