Main Contents of the German External Audit Reform Act-Compared with the Revised Korean External Audit Act

독일 외부감사개혁법은 외부감사제도를 개선하는 것은 금융시장에 대한 규제이자 동시에 소비자 및 투자자보호라는 인식을 기초로 공공이해관계회사(PIEs=Public Interest Entities)에 대한 외부감사의 적정성과 진실성에 관한 투자자 신뢰를 강화하는 것을 최상위 입법목표로 삼았다. 이러한 입법목표를 달성하기 위해서는 감사업무의 건전성과 독립성 및 피감회사에 대한 외부감사인의 비판적 태도 강화, 이해충돌 방지, 감사품질 향상, 외부감사인과 내부회계책임자의 책임 강화, 외부감사에 대한 감독기관의 감독 기능 개선 및 감독 간소화, 시장점유율이 낮은 외부감사인(감사법인)의 감사 시장에 대한 접근 가능성 개선 등을 통한 감사 시장의 구조변화가 필요하다고 보았다. 독일 외부감사개혁법의 주요 내용으로 이글에서 다룬 것은 엄격한 외부감사 대상인 공공이해관계 회사(PIEs)의 정의, 외부감사인 주기적 교체의무, 외부감사업무 담당자의 주기적 교체의무, 비감사업무 제공 금지, 감사위원회의 자격요건 및 역할 강화 및 외부감사인 선임 절차의 투명성·공정성 강화 등이다.

The German External Audit Reform Act, like the European Union, is based on the recognition that improving the external audit system is not only a regulation of the financial market, but also consumer and investor protection. The legislative objective was to strengthen investor confidence in the adequacy and sincerity of external audits of entities. In order to achieve these legislative objectives, the following is essential: soundness and independence of the audit, strengthen of the external auditor s critical attitude toward the audited company, prevention of conflicts of interest, enhance of audit quality, strengthen of the responsibility of the external auditor and internal accounting officer, improving supervisory functions and simplifying supervision, and improving access to the audit market of auditors with low market share. The main contents of the German External Audit Reform Act are as follows: strict external audit only for PIEs(Public Interest Entities), duty to periodically rotate auditors(Internal Rotation), duty to rotate the key audit partner periodically(External Rotation), prohibition of non-audit services, strengthen of the audit committee s qualifications and roles, and improving transparency and fairness of external auditor s appointment process.
