약정이율과 법정이율, 그리고 지연손해금

Agreed Interest Rate, Legal Rate of Interest and Damages for Delay

지연손해금율에 대하여 사전에 계약 당사자 간에 별도의 약정을 하지 않은 경우에는 법정이율이나 약정이율에 의하여 지연손해금이 산정된다. 그러나 지연손해금율에 관한 약정이 있는 경우에는 이 지연손해금율에 따라 지연손해금이 산정된다. 지연손해금은 이자제한법의 최고이율의 제한을 받는 이자가 아닌 손해배상의 예정액으로서, 이것이 부당히 과다한 경우에는 민법 제398조 제2항 또는 이자제한법 제6조에 의해 법원은 감액할 수 있다. 그리고 이때 법원은 이자제한법상의 제한최고이율을 참작하여 그 감액의 범위를 산정할 수 있을 것이다. 그러나 지연손해금은 대부업법의 최고이율의 제한을 받는 이자에는 포함되므로, 이 법상의 최고이율인 34.9%를 초과하는 지연손해금율에 의한 지연손해금은 그 초과부분에서 무효일 수밖에 없고, 민법 제398조 제2항에 의한 지연손해금의 감액이 논의될 여지도 없게 된다. 법정이율에 의해 지연손해금을 산정하는 경우, 법정이율 만큼의 손해는 통상손해로 평가하고, 초과손해는 민법 제393조 제2항의 특별손해로 인정하여 채권자가 배상받을 수 있는 여지를 두는 것이 타당하다고 생각한다. 이것은 약정이율만 정하고 지연손해금율에 관하여는 약정하지 않은 경우의 초과손해에 관하여도 마찬가지이다. 그러나 지연손해금율에 의한 지연손해금을 초과하는 손해가 발생한 경우에는 초과손해를 청구할 수 없다고 생각한다.

The rate of interest of a claim bearing interest, unless otherwise provided by other Acts or agreed by the parties, shall be five percent per annum. And the parties may determine in advance the amount of damages payable in the event of the non-performance of an obligation. The damages for delay is calculated by legal rate of interest or agreed interest rate if there isn’t agreement of the parties on rate of damages for delay. But if there is agreement of the parties on rate of damages for delay, the damages for delay is calculated by this rate of damages for delay. The damages for delay isn’t the interest limited in interest rate under the Interest Limitation Act but determination in advance of the amount of damages. Where the amount of the damages for delay determind in advance is unduly high, the court may deduce the amount to a more reasonable and proper sum. The court can consider the interest limited in interest rate under the Interest Limitation Act for reduction of the sum. But the damages for delay includes in the interest limited in interest rate under the 『Act on Registration of Credit Business, etc. and Protection of Finance Users』. The part by rate of the damages for delay going beyond limited interest rate under this law is invalid and can’t discept on reduction of the sum of the damages for delay. When the damages for delay is calculated by legal rate of interest, the loss as much as legal rate of interest can be evaluated as general damage and the excess loss can be evaluated as special damages of the Civil Law article 393 (2). Therefore the Creditor is able to receive compensation this special damages.
