Trust as a form of business organization - Review of business trust, trust with securitization of beneficiaries’ interest and limited liability trust

2011년 6월 29일자로 개정된 신탁법(이하 “개정 신탁법”)은 그 간 변화된 경제현실을 반영하고 신탁제도를 글로벌 스탠더드에 맞추어 개선하는 것을 목표로 하여 수익증권발행신탁, 유한책임신탁 등 새로운 신탁제도를 도입하였다. 이 글에서는 바로 이러한 새로운 신탁들이 상사신탁의 한 유형인 “사업신탁(business trust)” 으로서 활용될 수 있는 방안에 관하여 살펴보고자 한다. 개정 신탁법 하에서는 신탁재산을 ‘재산권’에 국한하지 않고 소극재산까지 포함하고 있으며 영업, 저작재산권 일부, 담보권도 신탁재산으로 삼을 수 있음을 명확히 함으로써 적극자산과 소극자산이 유기적으로 결합한 기업을 포괄적으로 수탁하는 이른바 사업신탁이 가능하게 되었다고 평가할 수 있다. 또한 신탁선언(자기신탁)을 허용하고, 수익권을 증권화할 수 있도록 하는 수익증권발행신탁제도와 수탁자의 책임을 신탁재산으로 제한하는 유한책임신탁제도를 도입하여 사업신탁을 활용할 수 있는 기반 역시 갖추어졌다. 사업신탁은 사업을 수행하는 주체라는 면에서 회사와 함께 기업조직(business organization)의 한 유형이며 회사제도와 신탁제도는 기업조직의 면에서는 서로 경쟁관계에 있는 제도라 할 수 있다. 신탁의 도산절연효과 및 신탁 구조의 유연성을 고려해 볼 때 사업신탁이 기업조직 또는 거래구조를 설계하는 데에 있어서는 충분히 활용될 수 있는 여지가 있다.

The Korean Trust Law (the “KTL”), amended as of June 29, 2011, introduced new types of trusts, including but not limited to, limited-liability trusts and trusts with securitization of beneficiaries’ interests, in order to reflect the recent economic changes and globally-standardized trust structure. This article examines the possibility of using these new types of trusts under the KTL as a business trust, which is a form of commercial trust. The amended KTL expands the definition of trust property to encompass the so-called passive properties, including debts, some intellectual property rights and mortgage rights. This way, the amended KTL can be said to allow a trust of a corporation (i.e., a business trust) which combines both active and passive assets. In addition, the amended KTL provides for a trust with the term of declaration of trust as a new instrument, securitization of beneficiaries’ interests of a trust and a trust where the trustee’s personal liability is limited or excluded, all of which provide for a basis for using business trusts. A business trust for operating enterprises is a competitor of corporation as a form of business organization. Insolvency protection and flexibility embodied in the trust structure will make a business trust attractive as an instrument of business restructuring or of commercial trade.
