협동조합법제에서 좋은 지배구조를 위한 이사회 구성

Constitution of Board of Directors for Good Cooperative Governance-Focusing on the Cases of Consumers’ Cooperatives Act-

이사회 구성은 협동조합 지배구조의 핵심문제이다. 협동조합의 생존에 있어 가장 큰 위협은 이사회가 잘 운영되지 못하는 것이다. 효과적인 협동조합 지배구조에 적극적으로 참여하는 것은 협동조합 조합원이 하는 매우 중요한 작업이다. 어떤 유형이든지 간에, 모든 협동조합은 1인1표라는 기본 전제를 공유한다. 하지만 연합회 단계에서는 반드시 1인1표 원칙이 지켜지는 것은 아니다. 모든 협동조합 조합원은 이사회 선출에 있어 평등하며 사업의 판매, 합병, 해산, 내규 변화와 같은 협동조합의 미래에 영향을 미치는 중요한 결정은 반드시 투표를 통해 결정하도록 법적으로 보장되어야 한다. 협동조합 연합회의 이사회를 어떻게 구성할 것인가와 관련하여 볼 때, 여러 기준이 있을 수 있지만 필자는 대표성, 독립성, 전문성, 효율성이라는 4가지 기준을 제시하여 보았다. 첫째, 연합회 이사회는 조합을 대표하는 것이 아니라 전체 조합원을 대표할 필요가 있다는 것이다. 이는 국회의원이 지역구가 아닌 국민 전체를 대표하는 것과 동일하다. 둘째, 연합회 이사는 자신의 조합과는 독립하여 행동해야 한다. 즉, 연합회라고 하는 독립적 기관의 이사라는 점이다. 이는 대표성에서 비롯된 성질이며, 직무와 관련된다. 셋째, 연합회 이사는 전문성을 갖추어야 하는데, 경영책임자와 소통할 수 있고 이를 감독할 수 있는 안목과 지식을 함양해야 한다. 그래서 원외이사제도를 도입할 필요가 있다. 넷째, 협동조합 이사회는 이사회 운영에서 집단적 의사결정비용이 지나치게 높지 않게 구성해야 효율성을 도모할 수 있다. 협동조합에서는 집단적 의사결정이 아니라 집단지성에 따른 의사결정이 되는 것이 조합원자치를 위해 핵심인데, 이때에도 영향력비용(influence cost)를 어떻게 낮추느냐가 관건이기 때문이다.

Constitution of boarding of directors is important on the issue of good cooperative governance. The shareholders need to monitor management stems from conflicts of interests between management(agent) and shareholders(owner), while both try to maximize their satisfactions. To that end, the board of directors has evolved to fulfill monitoring functions. The board of directors is the apex of the cooperative governance, whose duties include overseeing, monitoring, advising, controlling, and approving strategies and operation of the business. To discharge its prescribed duties satisfactorily, directors must be qualified and thoroughly knowledgeable about activities and events of the organization. At the same time, directors must be independent of the management for monitoring function. As a consequence, the size of the board gets bigger, which entails inefficiency due to communication gap, work load, slow decision-making, etc. The results show that the performance improves as the size increases. I suggest that 4 tests should be considered in analysing constitution of board of directors in level of cooperative federation. Those are (ⅰ) representativeness, (ⅱ) independence, (ⅲ) professionalism, and (ⅳ) effectiveness.
