위탁관리의 경우에 위탁관리업체가 아닌 입주자대표회의가 직접 체결한 계약의 유효 여부

The validity of the contract made by the Council of Occupants Representatives, not by the housing management operator which is entrusted with the collective housing management by the above Council

일정 규모 이상의 공동주택의 관리와 관련하여,「주택법」은 입주자의 자치관리와 주택관리업자를 통한 위탁관리를 기본적인 관리형태로 규정하고 있다. 그런데, 입주자대표회의가 그 관리방법을 위탁관리로 하였으면서도, 다른 법적 주체와 사이에 입주자대표회의가 직접 용역계약 등을 체결하는 경우에 그 효력이 문제된다. 현행「주택법」의 규정에 충실하게 해석하면, 관리규약에 입주자대표회의에 별도의 권한부여를 하지 않는 경우에는, 입주자대표회의는 의결기구에 불과하고, 위탁관리를 하는 관리업체에 그 구체적인 집행권한이 있다고 할 것이므로, 입주자대표회의가 주체가 되어 체결한 계약은「주택법」등에 반하여 무효라고 보아야 할 것이다. 다만, 「주택법」상의 관리주체규정이 변경될 입법적인 가능성도 있고, 위와 같이 무효라고 보는 대법원판례도 아직 확고하게 정립된 것은 아니므로, 향후 공동주택의 관리 및 입주자대표회의의 권한에 관한 법적 입장이 대법원판례를 통해 좀 더 명확하게 정리될 필요성이 있다고 할 것이다.

Regarding of managing a collective housing over certain scale, 「HOUSING ACT」regulate two kinds of management method, one is the autonomous management by the occupants, the other is entrusting management by housing management operator. When the Council of Occupants Representatives decides the autonomous management as the management method, nonetheless makes a contract with the different legal entity, how is the validity of that contract? Construed faithfully with the current 「HOUSING ACT」, unless the specific qualification is bestowed to the Council of Occupants Representatives under the management rules, the contract made by the Council of Occupants Representatives should be regarded as invalid, cause the Council of Occupants Representatives is only resolution organization and the entrusting management body has the right to perform. But, there are some legislative possibilities of reforming the regulation of managing body , and the Supreme Court s legal principles is not yet firmly made, so there is some necessities that the legal view of the management of the collective housing and the right of the Council of Occupants Representatives should be more organized by the Supreme Court s decisions.
