중국에서 M&A가 인수기업의 기술혁신에 미친 영향 연구 - 메이디의 샤오티엔어 인수를 중심으로

Impact of M&A on Technological Innovation of Acquiring Firms in China : A Case Study of Midea’s Acquisition of Little Swan

본 연구는 메이디의 샤오티엔어 M&A 사례가 메이디의 기술혁신에 어떤 영향을 주었는지를 분석한다. 연결망 분석법을 사용하여 메이디가 출원한 특허와그 특허가 인용한 문헌(특허)의 관계를 분석하여 샤오티엔어의 특허가 메이디의 새로운 기술개발에 활용되었는지를 살펴보았다. 분석 결과는 다음과 같다. 첫째, 메이디의 특허 출원은 샤오티엔어를 완전하게 인수한 2019년 이후 급격히 감소하였다. 반면 샤오티엔어는 종전의 혁신 성과를 꾸준하게 보여주었다. 둘째, 연결망 분석으로 메이디 특허가 인용한 특허문헌을 분석해보니 샤오티엔어의 기술은 메이디의 기술개발 과정에서 거의 참고되지 않았다. 메이디는 자사의 기존 기술, 해외 가전기업 그리고 일부 국내전자기계업체의 기술을 주로 인용한 것으로 나타났다. 마지막으로 메이디가 자신의 특허는 얼마나 자주 인용하였는지 자기인용비율로 분석해보니 M&A 이후특허 수의 급감과 함께 자기인용비율도 거의 0 수준으로 떨어졌다. 이상과 같은 분석 결과를 종합하면, M&A 이후 샤오티엔어의 기술은 메이디로 거의 이전되지 않았고, 오히려 인수 후 메이디의 기술개발 역량은 대폭 축소되었음을 알 수 있었다. M&A 이후 인수기업의 혁신 성과 축소는 해당 산업의 발전에 부정적 영향을 줄 가능성이 크다.

This research investigates the effects of Midea’s acquisition of Little Swan on Midea’s technological innovation capabilities. Employing social network analysis, this study explores the citations between patents filed by Midea and the references cited within these patents to determine the extent to which Little Swan’s patented technologies were integrated into Midea’s innovation processes. The findings of this study are as follows: Initially, there was a marked decline in the number of patents filed by Midea subsequent to its complete acquisition of Little Swan in 2019. Contrarily, Little Swan maintained its prior level of innovation. Further, network analysis of the patent citations revealed that Little Swan’s technologies contributed minimally to Midea’s technological advancement efforts. It was observed that Midea predominantly cited its own pre-existing technologies, in addition to patents from foreign domestic appliance manufacturers and various domestic electrical and machinery firms. Additionally, an examination of the self citation ratio, which measures the frequency of Midea’s self citation indicated that alongside the notable reduction in patent filings post-acquisition, there was a substantial decrease in this ratio, nearing zero. In conclusion, the empirical evidence suggests that post-M&A, there was minimal transfer of technology from Little Swan to Midea, and a significant diminution in Midea’s capability to develop new technologies. This decline in the innovative performance of the acquiring firm post-M&A could potentially exert a deleterious effect on the broader industry’s development.
