A Study on the Governance Structure of China's Rural Collective Economic Organizations from the Perspective of Social Behavior

社会行为视角下的中国农村集体经济组织治理结构研究

Despite the recognition of rural collective economic organizations as special legal entities by the Chinese Civil Code, there is a notable lack of legal provisions regarding their governance structure. From the perspective of social behavior, this paper proposes an institutional framework for their governance, considering the dual public and private law attributes of these organizations. By integrating social behavior theories, the study explores how social interactions, trust, and collective actions among members influence and shape governance structures of these organizations. The research suggests that adopting the shareholding cooperative as the foundational form can effectively align with both legal requirements and social dynamics. Clearly defining variable share structures and specific share types within this framework can enhance fairness and adaptability. Furthermore, establishing a governance structure comprising a general assembly, board of directors, and supervisory board, with an emphasis on social behavior, can improve decision-making equality and management efficiency.

尽管中国《民法典》已确认承认农村集体经济组织为特别法人，但却严重缺乏对其治理结构的法律规定。本文从社会行为学的角度出发，考虑到农村集体经济组织既具备公法属性又具备私法属性的复合特性，提出了构建起治理结构的制度路径。通过整合社会行为理论，本研究探讨了成员之间的社会互动、信任和集体行动如何影响和塑造农村集体经济组织的治理结构。研究表明，以股份合作社为基本形式，可以有效地适应法律要求和社会动态。在这一框架内明确界定可变的股权结构和具体的股权类型，可以增强公平性和适应性。此外，建立由股东大会、董事会和监事会组成的治理结构，强调社会行为，可以提高决策的公平性和管理效率。
