국내 CVC 유형 분류 - 소유구조를 중심으로

Ownership Structure and Types of Corporate Venture Capitals (CVCs)

선행연구는 기업형 벤처캐피탈(CVC)을 운영형태, 투자동기, 투자목적 등의 현상적 속성에 따라유형화했다. 그러나, 현상과 실제 간 괴리를 발생시키거나 현상적 속성을 역동적으로 변화시킬 수있는 CVC “소유구조”에 대한 고려가 부족했다. 따라서, 우리 연구는 CVC를 소유구조 중심으로유형화하고자 한다. 이를 위해, 국내 143개 CVC의 경영공시 및 감사보고서 자료를 내용분석하고, CVC 실무자 15명을 심층 인터뷰하였다. 연구 결과, CVC는 소유구조에 따라 (i) 그룹형 CVC, (ii) 종속형 CVC, (iii) 투자형 CVC, (iv) 해외 계열사 출자형 CVC, (v) 패밀리 공동 소유형 CVC의다섯가지 유형이 있음이 밝혀졌다. 특히, 해외 계열사 출자형 CVC와 패밀리 공동 소유형 CVC는소유구조에 의해 CVC 설립 취지 및 목표와 실제 운영 및 투자 간 차이가 발생할 수 있음을 알게되었다. 이러한 연구 결과는 소유구조가 CVC의 속성과 변화를 설명하는 주요 변수일 수 있다는이론적 시사점을 제시하고, CVC 설립과 운영 전략에 대한 실무적 지침을 제공한다.

Existing studies have categorized corporate venture capital (CVC) based on its operational form, investment motivation, and investment purpose. Yet, extant work has largely neglected CVC ownership structure, which can create gaps between phenomenon and reality or dynamically alter the properties of CVCs. We, therefore, aim to classify CVCs based on their ownership structure. To achieve this, our work conducted a content analysis of 143 Korean CVCs’ disclosure reports and undertook in-depth interviews with 15 CVC practitioners. Our findings reveal that CVCs can be categorized into five types based on ownership structure: (i) subsidiary CVC, (ii) investment-focused CVC, (iii) group-affiliated CVC, (iv) foreign-affiliated CVC, and (v) family-owned CVC. In particular, we found that the foreign-affiliated CVC and (v) family-owned CVC types may experience discrepancies between their founding intent, investment goals, and actual operations due to ownership structure. These findings offer theoretical implications by suggesting that ownership structure can serve as a key variable in explaining the characteristics and changes of CVCs. Additionally, they provide practical insights for CVC establishment and operational strategies.
